1. Acceptance of Terms

By accessing or using any service provided by MyCartlyHosting (“we”, “us”, “our”), including web hosting, cloud servers, and the “Host Your Shop” SaaS platform (mycartly.store), you (“Customer”, “you”) agree to be bound by these Terms of Service (“ToS”). If you do not agree, do not use our services.

2. Services Provided

MyCartlyHosting offers shared hosting, VPS, dedicated servers, domain registration, SSL certificates, and e‑commerce SaaS storefronts. Service specifications, resource limits, and pricing are defined on our website and may be updated from time to time.

3. Eligibility & Account Registration

  • You must be at least 18 years old or have parental consent.
  • You agree to provide accurate, current, and complete account information.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

4. Acceptable Use Policy (AUP)

You may not use our services for any illegal, abusive, or disruptive activity, including but not limited to:

  • Illegal content: Child pornography, pirated software, copyright-infringing material, counterfeit goods.
  • Malicious activity: Hosting malware, phishing sites, botnets, DDoS attacks, port scanning, cryptocurrency mining without explicit permission.
  • Abusive behavior: Spamming (unsolicited bulk email), email harvesting, mail bombing, fraud schemes.
  • Resource abuse (shared hosting): Excessive CPU, RAM, or I/O that degrades service for others.
  • Network abuse (e.g., open proxies, Tor exit nodes without approval).

Violation may result in immediate suspension or termination without refund and may be reported to law enforcement.

5. Content & DMCA Compliance

We respect intellectual property rights. If you believe content hosted by MyCartlyHosting infringes your copyright, send a DMCA notice to legal@mycartlyhosting.com. We will respond expeditiously to remove or disable access to infringing material.

Repeat infringers will have their accounts terminated.

6. Billing, Payments & Refunds

  • Billing cycle: Monthly, annually, or as selected at checkout. Invoices are sent at least 7 days before the due date.
  • Payment methods: Credit/debit cards, PayPal, and other options listed on our website.
  • Late payment: Accounts with overdue invoices may be suspended 5 days after the due date. After 14 days of non‑payment, the account may be terminated and data deleted.
  • Refund policy: Shared hosting plans include a 30‑day money‑back guarantee. No refunds on domain registration fees, SSL certificates, VPS, or SaaS add‑ons. Refund requests must be made via the billing portal or support ticket.
  • Chargebacks: If you issue a chargeback, your services will be immediately suspended and a $25 dispute fee may be added.

7. Cancellation & Data Deletion

  • You may cancel your service at any time from your control panel. Cancellation must be requested before the next billing date.
  • Upon cancellation, we are not obligated to retain your data. We strongly recommend downloading backups before cancelling.
  • If your account is terminated for violation of ToS, data will be deleted immediately.

8. Service Level & Uptime

We aim for 99.9% network uptime. If uptime falls below 99.0% in a given month (excluding scheduled maintenance, DDoS attacks, force majeure, or customer-caused issues), you may request a pro‑rated service credit. Credits are limited to one month’s fees and do not apply to free services.

We do not guarantee zero downtime; we are not liable for indirect losses caused by downtime.

9. Backups & Data Loss

We perform daily backups on shared hosting plans, but backups are not guaranteed and should not be your only disaster recovery method. You are solely responsible for maintaining off‑service backups of your data. We are not liable for any loss of data, including backup corruption or deletion.

VPS and dedicated server customers must manage their own backups unless a paid backup add‑on is purchased.

10. Limitation of Liability

To the maximum extent permitted by law:

  • MyCartlyHosting and Eminence SAB Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.
  • Our total liability for any claim arising out of or relating to our services shall not exceed the total amount you paid us in the three (3) months prior to the claim.
  • No claim may be brought more than one (1) year after the cause of action arose.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyCartlyHosting, Eminence SAB Solutions, and their employees, from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of our services, your violation of these ToS, or your infringement of any third‑party rights.

12. Modifications to Terms

We may revise these ToS at any time without prior notice. Material changes will be communicated via email or a notice on our website. Your continued use of services after the effective date constitutes acceptance of the revised terms.

13. Governing Law & Dispute Resolution

These terms are governed by the laws of Nigeria (or the country where Eminence SAB Solutions is incorporated). Any dispute shall first be attempted to be resolved through informal negotiation. If unresolved, disputes will be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, and judgment upon the award may be entered in any court having jurisdiction.

14. Host Your Shop (SaaS) Additional Terms

For mycartly.store (SaaS storefront platform):

  • You own your store content and customer data, subject to our Privacy Policy.
  • We reserve the right to suspend stores that violate the Acceptable Use Policy (e.g., selling prohibited items).
  • Transaction fees may apply as described on the pricing page.
  • Store owners are responsible for complying with local e‑commerce laws, including tax collection and consumer protection.

15. Severability & Entire Agreement

If any provision of these ToS is found unenforceable, the remaining provisions shall remain in full force. These ToS constitute the entire agreement between you and MyCartlyHosting regarding service use and supersede any prior agreements.
